Pecoy Copper Lands C$49.8 Million From Hudbay and a Second Strategic Investor

Pecoy Copper Lands C$49.8 Million From Hudbay and a Second Strategic Investor

Pecoy Copper’s shares closed at C$1.82 on Friday, October 30. On Monday, Hudbay Minerals agreed to pay C$2.02 apiece for nearly 15 million new ones. Every tonne in Pecoy’s published resource estimate sits in the inferred category, the least certain tier under Canadian disclosure rules, and a company that already mines copper in Peru wrote the check regardless.

Hudbay and an Unnamed Investor Commit C$49.8 Million to Pecoy Copper

Pecoy Copper Corp. (TSXV: PCU) (OTCQX: PCUUF) (FSE: D5E) announced on November 2 that it has signed subscription agreements with Hudbay Minerals Inc. (TSX: HBM) (NYSE: HBM) and a second strategic investor for a non-brokered private placement worth approximately C$49.8 million. Hudbay is subscribing for 14,914,100 common shares, about C$30.1 million. The second investor, whom the release does not name, is taking 9,762,425 shares for about C$19.7 million. Both pay the same C$2.02 per share.

The company put that price at a 10% premium to its 10-day volume-weighted average price on the TSX Venture Exchange as of October 30. Measured against Friday’s close, the premium was closer to 11%, Mining.com reported, adding that the stock rose 5.5% to C$1.92 on Monday morning.

None of this has closed yet. Pecoy expects each subscription to close on or about November 5, 2026, subject to customary conditions and regulatory approvals, TSX Venture Exchange acceptance among them. The new shares will carry a statutory hold period.

Hudbay’s Investor Rights Agreement Caps Its Pecoy Stake at 9.99%

Once the placement closes, Hudbay and the second investor are each expected to own approximately 9.99% of Pecoy’s common shares, calculated on a partially diluted basis. Hudbay also gets an investor rights agreement, which takes effect only if its own subscription closes and remains in force only while it holds certain ownership thresholds.

Under that agreement, Hudbay can participate in future equity financings and top up its position to maintain its pro rata stake, with the top-up capped at 9.99%. It can nominate one director to Pecoy’s board, or two if the board reaches ten or more members. The release describes no comparable agreement for the second investor.

Hudbay operates the Constancia copper mine in Peru, according to Mining.com. Chief executive Peter Kukielski said in the release that Hudbay has operated successfully in the country for more than a decade.

Pecoy’s 865 Million Tonne Inferred Resource and the 2026 Drill Program

The Pecoy deposit sits in southern Peru’s Arequipa region at roughly 1,650 meters elevation. It hosts an NI 43-101 inferred mineral resource of approximately 865 million tonnes grading 0.34% copper, 0.012% molybdenum, 0.05 g/t gold and 1.33 g/t silver, containing about 6.5 billion pounds of copper. The estimate has an effective date of April 30, 2025, and is supported by a technical report prepared by Mining Plus and dated July 23, 2025.

NI 43-101 is the Canadian rule governing how mining companies disclose technical information. Inferred is its lowest-confidence resource category. Pecoy’s own disclosure states that mineral resources are not mineral reserves and do not have demonstrated economic viability.

The C$49.8 million is earmarked for ongoing drilling, resource definition and expansion work, geological and metallurgical studies, and technical work toward a planned updated resource estimate, with the remainder going to general corporate and working capital purposes. Pecoy’s 2026 program calls for approximately 35,000 meters of drilling at Pecoy, and four rigs were turning as of September 8.

On September 1, the company reported that hole PEC26-072 at the South Breccia target returned 804.0 meters grading 0.34% copper and 0.08 g/t gold from 24.0 meters downhole, including 485.2 meters at 0.40% copper. Those are downhole lengths. True thicknesses have not been determined, according to the release.

Pecoy Copper’s Reverse Takeover Origins and Cash Position

Pecoy has been a listed company for barely fourteen months. It reached the TSX Venture Exchange through a reverse takeover that closed September 4, 2025, in which Pecoy Copper Limited, a private special purpose vehicle, took over an existing listed company after first consolidating the project’s concessions from sellers including Copper X Mining Corp. and Pembrook Copper Corp. In a reverse takeover, the owners of a private business end up controlling a company that is already listed, which gives them a public listing without an IPO.

Alongside that deal, the vehicle raised C$63.48 million through subscription receipts priced at C$0.60. At closing, the company reported 202,594,353 shares outstanding, roughly 37% of them under escrow or lock-up. The sources reviewed do not break out how ownership split between the legacy shell’s holders and the vehicle’s investors.

Pecoy is an exploration and development company, and its disclosures describe no production or revenue. The November 2 release does not state a current cash balance, and no company-published cash runway was identified in the sources reviewed. Desjardins Capital Markets analyst Bryce Adams estimated in a note cited by Mining.com that the financing lifts Pecoy’s cash to roughly C$70 million, enough for five to six quarters of spending. That figure is his, not the company’s.

The 24,676,525 new shares dilute existing holders. Mining.com put Pecoy’s market capitalization at about C$405 million.

Pecoy Copper Placement Closing Targeted for November 5, 2026

Pecoy expects both subscriptions to close on or about November 5, 2026, subject to TSX Venture Exchange acceptance. The company has said an updated mineral resource estimate is planned but has not given a date; Desjardins’ Adams expects it in early 2027, with a preliminary economic assessment later that year, according to Mining.com.

The C$49.8 million private placement had not closed as of publication. Closing is expected on or about November 5, 2026 and remains subject to customary closing conditions and regulatory approvals, including TSX Venture Exchange acceptance; there is no assurance it will close on those terms or at all. The second strategic investor is not named in the company’s release. Hudbay’s investor rights agreement takes effect only on closing of its subscription and depends on Hudbay maintaining certain ownership thresholds. The 24,676,525 new shares are dilutive to existing Pecoy shareholders.

Pecoy’s mineral resource is entirely in the inferred category, with an effective date of April 30, 2025, supported by an NI 43-101 technical report prepared by Mining Plus and dated July 23, 2025. Inferred resources carry the lowest geological confidence, and mineral resources are not mineral reserves and do not have demonstrated economic viability. No preliminary economic assessment, pre-feasibility study or feasibility study has been published for the project. Drill intervals cited are downhole lengths; true thicknesses have not been determined. The qualified person named in Pecoy’s technical disclosures, Vincent Cardin-Tremblay, P.Geo., is the company’s own Chief Geological Officer, a related-party relationship worth noting.

Pecoy Copper became a public company through a reverse takeover completed September 4, 2025, and has no disclosed production or revenue. The sources reviewed do not set out the post-closing ownership split between the legacy listed company’s holders and the special purpose vehicle’s investors. No company-published current cash balance or cash runway was identified in the sources reviewed. The approximately C$70 million post-financing cash figure and the timing expectations for an updated resource estimate and preliminary economic assessment are attributed to a Desjardins Capital Markets analyst as reported by Mining.com; they are not company disclosures and have not been independently verified by aktiego.com. The market capitalization figure is sourced to Mining.com, not to a company filing. The company’s own forward-looking statements identify risks including exploration, permitting, community relations, title, financing and commodity prices.
