Verdera Energy Sells Treeline Uranium Project to Americas Uranium as New Report Tracks Global Clean Energy Progress

A small uranium explorer just sold off a property that never made its priority list, taking cash, shares, and a royalty stream in return. Zoom out from any single stock this week and a new global report has a blunter story to tell: clean electricity investment hit a record last year, and it’s still not keeping pace with the world’s growing appetite for energy.

Verdera Energy Sells Treeline Uranium Project to Americas Uranium

Verdera Energy Corp. (TSXV: V, OTCQB: VUECF) announced on September 2 that it has entered into a Mineral Property Purchase and Sale Agreement to sell its Treeline Uranium Project in New Mexico to Americas Uranium Corp. (CSE: NUCA, OTCQB: ASRFF). Under the deal, Americas Uranium will acquire a 100% interest in the property, subject to royalties, through Verdera’s wholly-owned subsidiary, NM Energy Holding Corp.

Consideration consists of US$100,000 in cash due at closing plus C$2,000,000 in Americas Uranium common shares, with 90% of the share portion paid in staged issuances over the 36 months following closing. Verdera retains a 1.5% net proceeds royalty on uranium and a 1.5% net smelter returns royalty on other minerals produced from the property, reducible to 1.0% through a C$400,000 payment. Share issuances to Verdera are capped at a 19.99% beneficial ownership limit in Americas Uranium, with any excess deferred until its ownership falls back under that threshold. Americas Uranium also receives a right of first refusal over specified additional mineral rights surrounding the property.

Verdera CEO Janet Lee-Sheriff said Treeline wasn’t part of the company’s core project pipeline, and that Verdera’s focus remains on four larger-scale properties with historical resources, including an NI 43-101 technical report underway on its West Largo project. Both companies are small and micro-cap names trading on Canadian venture exchanges, and the transaction remains subject to CSE approval before closing.

Clean Electricity Covered 40% of New Global Energy Demand in 2025

The Energy Transitions Commission’s Energy Transition Monitor 2026, published September 2, found that global clean energy investment hit a record $2.1 trillion in 2025, and renewables supplied 99% of the growth in global electricity generation that year. But because electricity still makes up only about a fifth of total final energy use, that growth covered just 40% of the rise in overall global energy demand, with fossil fuels supplying the rest as demand from data centers, heavy industry, and long-distance transport kept climbing. The report flagged grid capacity as a major bottleneck: roughly 375 GW of renewables and 455 GW of battery storage are stuck in European connection and permitting queues, with about 2,300 GW awaiting grid connection in the United States. Four levers the report says remain largely unaddressed: coal use, methane emissions, deforestation, and the slow scale-up of carbon removals.

V, NUCA: Forward-Looking FAQ

Will the Verdera-Americas Uranium deal close on a fixed near-term timeline?

The cash portion is due at closing, which still requires CSE approval, but 90% of the share consideration is staged over 36 months, so full payment to Verdera won’t land as a single near-term event even once closing occurs.

Does Verdera keep any ongoing interest in Treeline after the sale?

Yes. Verdera retains a 1.5% net proceeds royalty on uranium and a 1.5% net smelter returns royalty on other minerals, reducible to 1.0% if Americas Uranium pays Verdera C$400,000, plus a right of first refusal position tied to adjacent mineral rights.
