NanoAi’s First Standoff Explosive Test Result, and Intellistake’s Unclosed Deal

NanoAi's First Standoff Explosive Test Result, and Intellistake's Unclosed Deal

Thirty seconds of clean air, then 0.80 seconds. That is how long a sensor in a Texas lab took to register an explosive placed 10 feet away, according to a video Intellistake Technologies released on October 15. Intellistake does not own that sensor yet.

NanoAi Registers Targeted Explosive Threat 001 at a 10-Foot Standoff

Intellistake Technologies Corp. (CSE: ISTK) (OTCQB: ISTKF) (FSE: E41) announced that NanoAi Technologies, the company it agreed in August to acquire, detected Targeted Explosive Threat 001 at a 10-foot standoff during laboratory testing at its Dallas-Richardson Op Center. The sensor first sampled the surrounding air for 30 seconds to set a baseline. The target was then placed 10 feet away, and the sensor flagged it 0.80 seconds later. No person or equipment touched the target, the company wrote, and the sequence was recorded on video.

Standoff detection means identifying a threat from a distance, with no physical contact. That is the whole pitch. Common field methods such as swab screening and ion mobility spectrometry need contact with, or close proximity to, the object being tested, according to the release. NanoAi says its sensor is being designed for helmets, wearables, drones, robots, vehicles and fixed installations, with defense as the primary market.

NanoAi’s Result Came From a Controlled Lab Test on One Explosive

Testing against this target only began on October 8. The October 15 result is the first the program has reported, and it covers a single targeted explosive in a controlled setting. NanoAi had previously shown standoff detection only in bench-level testing, per the company.

The release does not name the explosive or state the quantity used, the number of trials run, or any false-positive rate. The test and the video both come from the company. Nothing in the sources reviewed indicates independent verification.

The figure Intellistake led with in August needs the same reading. The original deal release cited more than 60,000 validation tests, but it described those as tests for infection detection, with results in roughly 30 seconds. They were not explosive tests.

NanoAi Begins Hands-On Gentex Ops-Core RAILINK Integration Work

Gentex Corporation, whose Ops-Core helmet systems are in service with US and allied forces according to Intellistake, named NanoAi in June 2025 as one of ten licensed development collaborators for its RAILINK platform. RAILINK is a powered rail on the helmet that lets attached devices draw power and share data. On October 13, Intellistake said NanoAi had taken physical possession of the full RAILINK Power and Data ARC Rail System and started hands-on development.

A development license is not a purchase order. Intellistake’s own release states that NanoAi’s technology is in active development and has not been commercially deployed, and the integration target is given only as the coming months.

Intellistake’s C$17 Million NanoAi Acquisition Has Not Closed

Under the definitive agreement dated August 3, Intellistake would acquire all of NanoAi’s securities for 34,106,412 Intellistake shares at a deemed C$0.50 each, about C$17 million. Those shares are to be issued subject to performance-based vesting milestones tied to future contracts and revenue generated by NanoAi, and they would carry escrow and trading restrictions. Craig Micklich, NanoAi’s founder and a 12-year US Navy SEAL veteran, and a second NanoAi nominee would join Intellistake’s board on closing.

Four conditions stand between signing and closing: satisfactory due diligence, including verification of title to NanoAi’s intellectual property; an audit of NanoAi’s financial statements; Intellistake keeping a minimum cash balance of $2 million; and no objection from the Canadian Securities Exchange. The October 15 release still lists all of them, and the company says there is no assurance the deal closes on current terms, or at all.

Some cash moves before any of that. Intellistake agreed to lend NanoAi up to US$1.3 million at 10% annual interest, with a one-year maturity and a general security agreement over NanoAi’s assets. The first US$300,000 is due within two business days of CSE non-objection and IP title verification, followed by US$200,000 a month for five months if work-plan milestones are met. The releases reviewed do not say how much has been advanced. Every advance comes out of the same Intellistake treasury that must stay above $2 million for the deal to close, and no specific cash balance or runway for Intellistake was identified in the primary sources reviewed for this article.

Intellistake Budgets Up to US$400,000 for Think Ink Marketing

The October 8 release that announced the start of testing also disclosed a new 12-month agreement with Think Ink Marketing Data & Email Services, a California marketing firm, with a budget of up to US$400,000. The services include online banner and native advertising, YouTube video distribution, social media coverage and newsletter email campaigns meant to raise awareness of the company and its securities.

It is not the first such contract. The August 4 deal release disclosed an earlier Think Ink engagement budgeted at up to US$30,000 from July 31, plus a one-time US$125,000 payment to Freedom Financial Research for a 30-day email marketing campaign. No securities were issued as compensation under any of the three, and all three firms are described as arm’s length to the company. Paid promotional material about Intellistake may circulate; it is not independent coverage.

Intellistake NanoAi Closing Target and Next Testing Milestones

Under the August agreement, closing is targeted within 60 days after all closing conditions are satisfied; as of October 15, no closing date had been announced. NanoAi’s next test is intended to extend detection to additional targeted threats, with no date disclosed. The Think Ink agreement runs 12 months from October 7, 2026, and the US$1.3 million bridge loan carries a one-year maturity.

The standoff detection result is a company-reported laboratory result against a single targeted explosive in a controlled setting, and it has not been independently verified in any source reviewed. The identity and quantity of the explosive, the number of trials and any false-positive data were not disclosed. NanoAi’s technology is in active development and has not been commercially deployed, per the company. The more than 60,000 validation tests cited in August relate to infection detection, not explosives. NanoAi’s Gentex RAILINK arrangement is a development license, not a purchase commitment or revenue contract.

The NanoAi acquisition has not closed. Completion remains subject to satisfactory due diligence including verification of title to NanoAi’s intellectual property, completion of an audit of NanoAi’s financial statements, Intellistake maintaining a minimum cash balance of $2 million, and no objection from the Canadian Securities Exchange; the company states there is no assurance the transaction will be completed on current terms or at all. If completed, the 34,106,412 consideration shares would dilute existing shareholders, with issuance subject to performance-based vesting tied to NanoAi’s future contracts and revenue. Intellistake has agreed to a bridge loan of up to US$1.3 million to NanoAi at 10% annual interest, advanced in installments subject to conditions; the amount advanced to date was not disclosed in the sources reviewed. NanoAi’s financial statements have not been published, and their audit is itself a closing condition. No specific cash balance or cash runway for Intellistake was identified in the primary sources reviewed, and Intellistake’s own forward-looking statements reference risks tied to a change of business.

Intellistake has disclosed paid marketing arrangements intended to raise awareness of the company and its securities: a 12-month agreement with Think Ink Marketing Data & Email Services budgeted at up to US$400,000 from October 7, 2026; an earlier Think Ink engagement budgeted at up to US$30,000 from July 31, 2026; and a one-time US$125,000 payment to Freedom Financial Research for a 30-day email campaign.
