Draganfly Closes US$10 Million Investment From Unusual Machines and US Fund

C$10,582. That was Quantum eMotion’s revenue in a quarterly filing earlier this year. On Monday it agreed to pay C$33.8 million for a cybersecurity company that already has hundreds of customers. A drone maker sold $10 million of stock to a parts supplier and a US fund the same day. On Tuesday, a Vancouver internet provider signed its first AI compute contract.

Quantum eMotion Agrees to Buy Plurilock for C$33.8 Million

Quantum eMotion Corp. (NYSE American: QNC; TSXV: QNC) signed a definitive agreement on September 28 to acquire Plurilock Security Inc. (TSXV: PLUR; OTCQB: PLCKF) for about C$33.8 million, 30% cash and 70% stock. Plurilock holders get C$0.084 in cash plus 0.0763 of a QeM share per share. That implies C$0.28, roughly double Plurilock’s 20-day average trading price.

QeM builds quantum-secure encryption. It has barely any revenue. Plurilock brings 25-plus years of operations and procurement channels across Canada, the US, and NATO. QeM says the deal gives it an installed customer base to sell into.

QNC surged on the news, then slid about 4% the following session on dilution worries. Plurilock holders would own about 4% of the combined company. The share ratio is fixed, so the stock portion of that C$0.28 moves with QNC until closing.

Nothing is closed. The deal needs two-thirds of Plurilock’s shareholder vote plus a majority of minority holders, then approval from a BC court and both exchanges. Holders of just 6.8% of Plurilock shares have signed support agreements. The vote is expected in November. A C$1.5 million break fee applies in certain termination scenarios, and QeM is lending Plurilock up to C$2 million at 8.5% in the meantime.

Draganfly Closes US$10 Million Investment From Unusual Machines

Draganfly Inc. (Nasdaq: DPRO; CSE: DPRO) closed a US$10 million registered direct offering on September 29, selling 1,869,159 shares at US$5.35. Drone-parts maker Unusual Machines (NYSE American: UMAC) and an unnamed US fund each put in $5 million, at Draganfly’s September 25 closing price. No discount.

Unusual Machines counts Donald Trump Jr. on its advisory board. Its shares were up about 89% this year heading into the deal, while Draganfly’s were down about 23%. Draganfly rose about 3.7% premarket on the announcement, with other reports putting the gain as high as 5.2%. CEO Cameron Chell told investors the deal is about positioning, not size.

It is still new stock. Draganfly raised US$50 million in February at US$7.00 per share, so this round priced about 24% lower. Earlier in September it won a Canadian Armed Forces order for 100 tactical surveillance drones, with options for up to 4,900 more.

Uniserve Signs Five-Year AI Compute Deal for NVIDIA B300 Servers

Uniserve Communications Corporation (TSXV: USS; OTC Pink: USSHF), an internet and IT services provider incorporated in 1988, signed a five-year AI compute agreement on September 29. It will rent two NVIDIA B300 GPU servers in its Vancouver data center to an unnamed enterprise client. Management called it the first of many.

Minimum payments total about US$3.15 million over 60 months. A revenue-share clause could lift that. The client has made an initial prepayment, and activation is targeted before year-end.

Hours earlier, Uniserve posted fiscal 2026 results. Revenue rose 46% to C$10.2 million for the year ended May 31. Net loss widened to C$4.7 million from C$1.7 million, including a C$1.9 million impairment. Fiscal 2025 figures were restated to correct the accounting for warrants tied to a debt facility.

QNC, PLUR, DPRO, USS: Forward-Looking FAQ

Plurilock holders get a fixed 0.0763 QeM share. What happens to the C$0.28 value if QNC keeps falling before the November vote?

It shrinks. Only the C$0.084 cash portion is fixed; the stock portion tracks QNC, which already slipped about 4% the session after the announcement.

Does Unusual Machines’ $5 million stake come with a supply agreement with Draganfly?

None has been disclosed. Unusual Machines’ CEO said the investment supports Draganfly’s production growth and supplier ties, but both releases describe only a share purchase.

When does Uniserve’s B300 contract start generating revenue?

The 60-month term begins at service activation, which depends on equipment delivery and installation and is targeted before year-end. So far, Uniserve has disclosed only an initial prepayment.
