Ten feet. 0.80 seconds. That was the first on-camera detection NanoAi Technologies logged against an explosive compound it calls Threat 001, reported in mid-October. On October 29 the Dallas company said the same sensor had now picked up a second, different explosive in the lab, and the public company trying to buy it still has not closed the deal.
NanoAi Detects Threat 002 Using the Sensor Tested on Threat 001
Intellistake Technologies Corp. (CSE: ISTK) (OTCQB: ISTKF) (FSE: E41) reported on October 29 that NanoAi had completed planned laboratory testing against a second explosive, labeled Threat 002, using the same sensor previously tested against Threat 001. The work took place at NanoAi’s operations center in the Dallas-Richardson area of Texas. Testing has already moved on to a third compound. Neither explosive is named.
The Threat 001 numbers came first. Intellistake’s October 22 release put the count at more than 2,000 successful standoff tests since testing began on October 8. Standoff detection means identifying a threat from a distance, without an operator having to physically approach it.
There is no equivalent figure for Threat 002. The October 29 release gives no detection distance or time for the second compound, and it does not give a test count either, describing the work only as conducted under comparable conditions.
Intellistake CEO Jason Dussault framed the result as one sensor recognizing two different explosives at standoff, and the headline says it happened without changing hardware. Whether anything in the software or detection profile was adjusted between the two compounds, the release does not say. A cloud-updated library of threat “fingerprints” appears only as a development objective, and the company states plainly that the progress is “not evidence of an already field-ready or remotely reprogrammable device.”
NanoAi ran all of the testing itself. No independent laboratory is named, and the technology has not been commercially deployed.
Intellistake’s C$17 Million NanoAi Acquisition Has Not Closed
Intellistake does not own NanoAi yet. The definitive agreement dated August 3 provides for Intellistake to acquire all of NanoAi’s outstanding securities for 34,106,412 Intellistake shares at a deemed price of C$0.50 each, roughly C$17 million. A deemed price is the per-share value assigned for the purposes of the deal; it is not a market quote.
Those shares do not change hands in one block. Their issuance depends on performance-based vesting milestones tied to future contracts and revenue generated by NanoAi, and the shares will carry escrow and contractual trading restrictions. The milestones themselves are not specified in the announcement. If all of them are met, the full 34.1 million shares would be issued to NanoAi’s holders, diluting existing Intellistake shareholders. Those shares trade on the CSE and on the OTCQB, a mid-tier US over-the-counter market whose securities are generally eligible to clear through standard brokerages.
Closing depends on due diligence verifying title to NanoAi’s intellectual property, a completed audit of NanoAi’s financial statements, Intellistake maintaining a minimum cash balance of $2 million, and no objection from the Canadian Securities Exchange. Closing was targeted within 60 days after those conditions are satisfied. Eighty-six days after the announcement, the October 29 release still calls the acquisition proposed and says there is no assurance it will be completed on the terms currently contemplated, or at all.
On closing, NanoAi founder and CEO Craig Micklich and a second NanoAi nominee would join Intellistake’s board.
Intellistake’s US$1.3 Million Bridge Loan to NanoAi
Money moves before shares do. The August agreement provides for Intellistake to lend NanoAi up to US$1.3 million at 10% annual interest, maturing in one year, to fund about six months of NanoAi’s corporate and development costs. The first US$300,000 was to be advanced once the CSE raised no objection and title to NanoAi’s IP was verified. After that, US$200,000 follows on each monthly anniversary of the agreement for five months, but only if NanoAi meets agreed work plan milestones.
The loan is backed by a general security agreement, which gives Intellistake a secured claim over all of NanoAi’s assets if the loan goes unpaid. How much has actually been advanced so far is not confirmed in any release reviewed for this article.
NanoAi’s Gentex RAILINK License Is a Development License
NanoAi is a licensed development collaborator in the Ops-Core RAILINK ecosystem run by Gentex Corporation, which describes itself as a privately held, family-owned maker of personal protection and situational awareness equipment for defense forces. The October 29 release says NanoAi has taken possession of the full RAILINK system for hands-on development, with integration work alongside Gentex’s engineering team expected over the coming months.
The license is narrower than the phrase might suggest. When Gentex announced its new RAILINK development partners in June 2025, NanoAi was one of ten companies signing royalty-free license agreements to build accessories for the helmet-mounted power and data rail. That is permission to develop for the platform. No Gentex purchase order, supply contract or revenue tied to NanoAi has been disclosed.
Intellistake’s Cash Position and Paid Marketing Campaigns
Intellistake built its business on AI software sitting alongside blockchain and digital-asset infrastructure, and its October 29 risk factors still list cryptocurrency price exposure. Standoff sensing hardware is a different line of work entirely.
No specific cash balance or runway was identified in the sources reviewed. That gap matters more than usual here: a $2 million minimum cash balance is itself a closing condition, and the bridge loan comes out of Intellistake’s own funds. The company lists a failure to raise the capital needed to fund operations among its risks.
The company has also been paying for visibility. Alongside the August 4 announcement, Intellistake disclosed a 12-month marketing agreement with Think Ink Marketing Data & Email Services carrying a budget of up to US$30,000, and a 30-day campaign with Freedom Financial Research for a one-time fee of US$125,000, with no securities issued as compensation under either. NanoAi testing updates have arrived roughly weekly since mid-October, with a corporate website and brand relaunch announced on October 27 in between.
Intellistake NanoAi Next Steps: Threat 003 and Deal Closing
NanoAi’s laboratory testing of a third explosive compound, Threat 003, is underway at its Dallas-Richardson operations center; no results or completion date have been disclosed. Gentex integration work is expected over the coming months, with no specific date given. The NanoAi acquisition is targeted to close within 60 days of its conditions being satisfied, and Intellistake has not disclosed a closing date. The Think Ink marketing agreement runs through July 2027.

All NanoAi detection results cited are laboratory results generated and reported by NanoAi and Intellistake; none have been independently verified, no independent testing laboratory is named, and the explosive compounds tested are not identified. The company has disclosed no detection distance, detection time or test count for Threat 002. By the company’s own statement, the results are not evidence of a field-ready or remotely reprogrammable device, NanoAi’s technology has not been commercially deployed, and cloud-based detection-profile updates are a development objective rather than a demonstrated feature.
The NanoAi acquisition is a signed definitive agreement that has not closed as of October 29, 2026. Closing remains subject to due diligence on title to NanoAi’s intellectual property, an audit of NanoAi’s financial statements, Intellistake maintaining a minimum cash balance of $2 million, and no objection from the Canadian Securities Exchange; the company states there is no assurance the transaction will be completed on current terms or at all. The 34,106,412 consideration shares, at a deemed price of C$0.50, are subject to undisclosed performance-based vesting milestones tied to future NanoAi contracts and revenue, plus escrow and trading restrictions, and would be dilutive to existing shareholders if issued. The US$1.3 million bridge loan to NanoAi is advanced in milestone-conditioned installments; the amount actually advanced to date has not been confirmed in the sources reviewed.
NanoAi’s RAILINK relationship with Gentex Corporation is a royalty-free development license shared with other partners, not a purchase or supply agreement, and no contracted or contingent revenue from Gentex has been disclosed. No specific cash balance or cash runway for Intellistake was identified in the sources reviewed, and the company cites the risk of failing to raise capital needed to fund operations.
Intellistake disclosed paid marketing and promotional engagements with Think Ink Marketing Data & Email Services (up to US$30,000 over 12 months from July 31, 2026) and Freedom Financial Research (a one-time US$125,000 fee for a 30-day campaign launched in August 2026). The company’s descriptions of NanoAi’s technology as proven are its own characterizations and have not been independently verified.
