Verdera Energy Sells Treeline Uranium Project to Americas Uranium
Verdera Energy Corp. (TSXV: V, OTCQB: VUECF) announced on September 2 that it has entered into a Mineral Property Purchase and Sale Agreement to sell its Treeline Uranium Project in New Mexico to Americas Uranium Corp. (CSE: NUCA, OTCQB: ASRFF). Under the deal, Americas Uranium will acquire a 100% interest in the property, subject to royalties, through Verdera’s wholly-owned subsidiary, NM Energy Holding Corp.
Consideration consists of US$100,000 in cash due at closing plus C$2,000,000 in Americas Uranium common shares, with 90% of the share portion paid in staged issuances over the 36 months following closing. Verdera retains a 1.5% net proceeds royalty on uranium and a 1.5% net smelter returns royalty on other minerals produced from the property, reducible to 1.0% through a C$400,000 payment. Share issuances to Verdera are capped at a 19.99% beneficial ownership limit in Americas Uranium, with any excess deferred until its ownership falls back under that threshold. Americas Uranium also receives a right of first refusal over specified additional mineral rights surrounding the property.
Verdera CEO Janet Lee-Sheriff said Treeline wasn’t part of the company’s core project pipeline, and that Verdera’s focus remains on four larger-scale properties with historical resources, including an NI 43-101 technical report underway on its West Largo project. Both companies are small and micro-cap names trading on Canadian venture exchanges, and the transaction remains subject to CSE approval before closing.
Clean Electricity Covered 40% of New Global Energy Demand in 2025
The Energy Transitions Commission’s Energy Transition Monitor 2026, published September 2, found that global clean energy investment hit a record $2.1 trillion in 2025, and renewables supplied 99% of the growth in global electricity generation that year.
