Eric Sprott Lifts MAX Power Mining Stake to 24.35%

Billionaire investor Eric Sprott just wrote a $6 million check to increase his stake in a natural hydrogen explorer, days after shareholders voted almost unanimously to clear the way. A Quebec graphite developer signed a new partnership aimed at cutting the cost of turning its ore into finished battery material.

Eric Sprott Lifts MAX Power Mining Stake to 24.35%

MAX Power Mining Corp. (CSE: MAXX, OTC: MAXXF, FSE: 89N) said on August 25 that Eric Sprott, through his holding company 2176423 Ontario Ltd., exercised 12,138,548 warrants for total proceeds of $6,004,216.22, lifting his beneficial ownership from 34,984,979 shares (19.32%) to 47,123,527 shares, or 24.35% of the company’s 193,505,888 issued and outstanding common shares.

The warrant exercise follows a special shareholder meeting on August 20 where more than 99.92% of votes cast by disinterested shareholders approved a resolution designating Sprott a control person, giving him flexibility to keep increasing his stake without triggering a formal takeover bid. MAX Power is developing what it calls Canada’s first confirmed subsurface natural hydrogen system, the Lawson Discovery near Central Butte, Saskatchewan, and controls roughly 1.3 million acres of permits across the region’s Genesis Trend. CEO Ran Narayanasamy said the company is ahead of schedule and under budget as it works to delineate the deposit.

MAX Power carries a market capitalization near CA$600 million. The company is scheduled to present at the Clean Energy & Metals Virtual Investor Conference on August 27.

Focus Graphite Signs Battery Technology MOU With C4V

Focus Graphite Inc. (TSXV: FMS, OTCQB: FCSMF) announced on August 26 that it had entered into a non-binding memorandum of understanding with Charge CCCV LLC, a US-based battery technology company known as C4V, to evaluate an integrated mine-to-anode pathway combining Focus’s Lac Knife graphite concentrate from Québec with C4V’s proprietary Green Anode Technology.

The technology is designed to convert premium natural graphite concentrate directly into finished coated spherical purified graphite, the material used in lithium-ion battery anodes, through an automated process the companies say reduces water use, energy consumption, and chemical inputs compared with conventional methods. The agreement is an evaluation-stage MOU only; no supply volumes, pricing, or firm commercial terms have been disclosed, and either party can walk away before it becomes binding.

Focus Graphite carries a market capitalization near CA$44 million. The company has been active on the partnership front this year, including a proposal submitted in July under a U.S. critical minerals initiative and a pilot-scale graphite production run announced in early August.

MAXX, FMS: Forward-Looking FAQ

Could Eric Sprott keep buying shares of MAX Power past 24.35%?

The control-person resolution shareholders approved specifically anticipates that; it removes the normal takeover-bid trigger for Sprott’s continued accumulation, though the company hasn’t disclosed any specific target ownership level.

Does the Focus Graphite MOU commit either company to buying or selling anything?

No. It’s an evaluation-stage, non-binding agreement to test the combined technology; a supply agreement, pricing terms, or volume commitments would each require a separate, later agreement.
