Fobi AI Inc. How the Halt Started, and What It Took to Lift It
The shares hadn’t traded since the British Columbia Securities Commission issued a failure-to-file cease trade order on November 1, 2024, after Fobi missed its audited annual filings for the fiscal year ended June 30, 2024. Every filing that came due during the nearly two years that followed piled up behind it: interim statements for six more quarters, a full annual filing for fiscal 2025, and the certifications that go with each one.
The BC Securities Commission fully revoked the order on July 10, 2026, once Fobi filed the entire backlog. The company also refiled its December 2025 interim statements that same day to fix an accounting error tied to professional fees and accounts payable. TSXV accepted the reinstatement on August 10, and the bulletin confirming Thursday’s restart followed two days later.
The Red Flags Disclosed Alongside the Return
The reinstatement announcement carried its own set of problems. Fobi’s board has three members, which doesn’t satisfy TSXV and securities law requirements on board and audit committee composition, and the company says it’s actively looking for more directors. Its last annual general meeting was held on June 6, 2024. It’s required to hold the next one by October 8, 2026.
Then there’s the balance sheet. As of March 31, 2026, Fobi reported a working capital deficiency of $4,630,223. A separate correction lowers that figure to $3,380,023: the company says it mistakenly booked $1,250,200 from a private placement as a liability instead of equity, an error it will formally correct in its audited financials for the year ending June 30, 2026. Fobi has put a new financial control and reporting plan in place to catch errors like this one before they reach the filings.
Fobi also disclosed that it no longer has a market maker. Two prior arrangements, with Independent Trading Group and DS Market Solutions, both ended before the cease trade order was even issued, in 2024 and early 2025 respectively.

Fobi has until October 8 to hold the annual meeting it’s more than two years overdue on, and it still needs to fill out its board to meet audit committee rules.
