SonicStrategy issued 11,250,000 new shares last week and did not receive a dollar of cash for them. It took 7,922,535 SYN tokens instead, credited at US$0.20 apiece. Its own release puts the token’s recent average price at about US$0.1849.
SonicStrategy Closes First Tranche, Settled Entirely in SYN Tokens
SonicStrategy Inc. (CSE: SONI) (OTCQB: SONIF), a Toronto company that operates blockchain validator nodes and holds a digital asset treasury, announced on October 8 that it closed the first tranche of a non-brokered private placement of up to $4.5 million. The tranche issued 11,250,000 common shares at C$0.20 for aggregate consideration of $2,250,000, satisfied entirely in kind. In plain terms, subscribers handed over crypto tokens rather than cash. No warrants were attached and no finder’s fees were paid.
The company now has 60,870,466 shares outstanding. By aktiego.com’s calculation, the new shares make up about 18.5% of that total, a 22.7% increase over the roughly 49.6 million shares implied before closing. That is a meaningful slice for one tranche.
No Related Persons, the CSE’s term for insiders such as directors, officers and large holders, took part, and no new 10% shareholder was created. The shares carry a hold period expiring February 9, 2027. The closing still requires final acceptance from the Canadian Securities Exchange.
SYN Valuation Sits Above the VWAP SonicStrategy Cited
Each token was valued at US$0.20, converted at an agreed C$1.42 per US dollar for C$0.284 per token. According to the release, that price was negotiated at arm’s length with each subscriber, confirmed in writing and approved by the board. The same release cites a volume-weighted average price, or VWAP (an average price weighted by how much traded at each level), of approximately US$0.1849 on Binance’s SYN/USDC pair from September 28 to October 7.
What the company said earlier is why the gap matters. Both the September 22 announcement and the October 5 amended terms stated that digital assets would be valued at the lower of a fixed reference price and a 10-trading-day VWAP. The US$0.20 credit is about 8.2% above the US$0.1849 figure the company itself published.
At that VWAP, the 7,922,535 tokens come to roughly US$1.46 million, or about C$2.08 million at the same exchange rate, against C$2.25 million credited. The difference is about C$170,000. Those are aktiego.com calculations from the company’s own figures. The October 8 release does not reconcile the price with the earlier valuation language, and it refers to a September 29 amendment that does not appear among the company’s releases on its Newsfile page.
SonicStrategy had been buying SYN itself. It disclosed 500,000 tokens at about US$0.23 on September 23, then 260,000 more at about US$0.1923 the next day, for a position of roughly 760,000. The in-kind tranche is more than ten times that.
SonicStrategy Cash Tranche Remains Open, Now With Warrants
The cash half has not closed. It offers up to 11,250,000 units at $0.20, each a share plus half a warrant, with every whole warrant exercisable at $0.25 for 24 months. If the stock closes at or above $0.75 for 10 consecutive trading days, the company can accelerate expiry to 30 days after notice. Warrants were not part of the original September 22 structure, which said none would be issued; they arrived with the October 5 amendment.
Finders can be paid up to 6% in cash and up to 6% in broker warrants on subscribers they introduce. Fully subscribed, the cash tranche would lift the share count to 72,120,466 by aktiego.com’s count, with up to 5,625,000 warrants outstanding on top. On September 24 the company also granted 4,085,000 stock options to directors, officers and consultants at C$0.205, exercisable for five years. The company says there is no assurance the cash tranche will be completed.
What SYN and Hypercall Are, According to SonicStrategy
SYN is a token associated with the Synapse ecosystem. Synapse Labs, per SonicStrategy’s September releases, is developing Hypercall, a decentralized options protocol built to run inside Hyperliquid, a decentralized venue for perpetual futures (contracts with no expiry date). CEO Dustin Zinger called tokenization and on-chain markets “a significant growth opportunity” in the closing release.
The company has also pointed to a published Synapse Labs proposal that would route 70% of certain protocol fees to SYN buybacks. It is a proposal. SonicStrategy’s own wording makes any effect conditional on approval and implementation, and none of these descriptions has been independently verified.
The received tokens sit in company-controlled custody and can be held, staked, used in validator operations, or sold to fund working capital. For scale, SonicStrategy reported Q2 2026 staking revenue of US$71,530 and a monthly burn of about US$30,000 in August, when it also terminated a non-binding letter of intent to buy AI assets from ARKLAB AI. No cash balance or runway figure was identified in the releases reviewed.
SonicStrategy (SONI) Forward Look: CSE Acceptance and February 2027 Hold Expiry
Final CSE acceptance of the October 8 tranche is pending; the company has not disclosed a date for it. The cash tranche of up to 11,250,000 units remains open with no stated closing date, and the company has said it will announce the close when completed. The hold period on the 11,250,000 in-kind shares expires February 9, 2027, and half of the September 24 options vest on March 24, 2027.

This article is based entirely on SonicStrategy Inc. news releases distributed by Newsfile on August 21, September 22, 23 and 24, and October 5 and 8, 2026. The SYN tokens in the October 8 tranche were credited at US$0.20 per token, while the same release cites a Binance SYN/USDC VWAP of approximately US$0.1849 for September 28 to October 7, 2026. The company’s September 22 and October 5 releases stated that digital assets would be valued at the lower of a fixed reference price and a 10-trading-day VWAP; the October 8 release does not reconcile its US$0.20 price with that language. A September 29, 2026 amendment referenced in the October 8 release was not located in the sources reviewed. The 8.2% premium, the roughly C$170,000 valuation difference, the 18.5% post-close share percentage and the 72,120,466 fully subscribed share count are aktiego.com calculations from the company’s disclosed figures, not company disclosures.
The 11,250,000 shares issued in this tranche are dilutive to existing shareholders, and no cash was received for them. The open cash tranche could add up to 11,250,000 further shares and 5,625,000 warrants, plus finder’s compensation of up to 6% in cash and 6% in broker warrants; 4,085,000 stock options granted September 24, 2026 are also outstanding. The October 8 tranche remains subject to final CSE acceptance, and the company states there is no assurance the cash tranche will be completed as proposed or at all.
Descriptions of SYN, Synapse Labs, Hypercall and Hyperliquid, and of a Synapse Labs proposal to direct 70% of certain protocol fees to SYN buybacks, are the company’s own characterizations and have not been independently verified; the buyback mechanism is a proposal, not an implemented feature. Staking revenue of US$71,530 for Q2 2026 and monthly burn of approximately US$30,000 are as reported by the company; no specific cash balance or cash runway was identified in the sources reviewed. SonicStrategy terminated a non-binding letter of intent with ARKLAB AI in August 2026; that termination is unrelated to this financing. Neither the Canadian Securities Exchange nor its Regulation Services Provider has reviewed or accepts responsibility for the adequacy or accuracy of the company’s releases, per the company’s own standard disclosure.
