Hemostemix sold its newest units for five Canadian cents apiece. The same October 7 release disclosed full approval from a regulator in The Bahamas to begin a commercial study of VesCell, the company’s stem cell therapy. One document carries both facts, and neither one cancels the other.
Hemostemix Receives Full LARTA Approval for VesCell Phase 1 Study
Hemostemix Inc. (TSXV: HEM) (OTCQB: HMTXF) (FSE: 2VF0) announced that it has received full approval from the National Longevity and Regenerative Therapy Board of The Bahamas, including ethics approval from the board’s ethics committee, for a commercial Phase 1 study of VesCell in angina, vascular dementia and pain. VesCell, also referred to by its development code ACP-01, is autologous, meaning it is made from the patient’s own blood.
The approval completes a process that began on July 8, when the company filed its application under The Bahamas’ Longevity and Regenerative Therapies Act, known as LARTA. That filing described a basket trial, one study design that covers several conditions at once, and tied the program to the sale of VesCell treatments in The Bahamas. Neither release discloses a price per treatment or a target enrollment number.
A second protocol is already in preparation. It would study VesCell as a longevity treatment, tracking cognition and heart function, the latter measured as left ventricular ejection fraction (the share of blood the heart’s main pumping chamber pushes out with each beat). Inflammatory markers are on the list too.
The release is dated October 7, 2026, one day before this article’s coverage window opens; it is included because no comparable substantive story from a TSX, TSXV, or CSE company was found inside the window.
LARTA Approval Is Not FDA or Health Canada Clearance
LARTA is a Bahamian framework for physician-led commercial regenerative medicine programs, run under ethics review and informed consent. It is not a US Food and Drug Administration approval. It is not a Health Canada approval either.
VesCell remains investigational. Hemostemix’s own August 20 release states that it has not been approved by the FDA or Health Canada for vascular cognitive impairment or vascular dementia. Phase 1 is the earliest stage of human testing and is built mainly to assess safety; the word “commercial” in the study’s name describes the Bahamian program structure, not clearance for sale in Canada or the United States.
The company reports seven completed clinical studies covering 318 subjects. Those are its own figures, drawn from its standard corporate description, and aktiego.com has not independently reviewed the underlying publications.
Hemostemix Raises C$380,500 in Units Priced at C$0.05
The approval shares a release with a dilutive raise. Hemostemix said it is completing an initial closing of C$380,500 through 7,610,000 units at C$0.05 each, part of a non-brokered private placement of up to C$1,000,000. Non-brokered means the company sells the units directly rather than through an investment dealer.
Each unit holds one common share and half a warrant. A whole warrant buys another share at C$0.12 for 24 months, and if the stock’s 10-day volume-weighted average reaches C$0.15 after the four-month hold, the company can shorten the warrants’ life to 30 days. The offering still needs final TSX Venture Exchange acceptance. Stated uses of proceeds include ACP-01 manufacturing, clinical-program preparation, regulatory submissions, physician education, and general working capital.
The two most recent releases describe this raise differently. The October 7 release calls it an addition to the placement disclosed on June 17, which it says raised C$682,250 in total. The September 23 release described the same price-protection filing as the third tranche of that June offering.
That June 17 release carried its own disclosure. Hemostemix restated its unaudited Q3 2025 interim financial statements after reassessing how it accounted for convertible debentures issued in July 2025, and told investors the originally filed statements should no longer be relied upon. The company called the adjustments material but mostly non-cash. Its October 7 forward-looking language still lists the risk that the restatement process and adjustments may change.
No specific cash balance or runway figure was identified in the releases reviewed for this article.
Hemostemix Drops CytoImmune Bioreactor License as ACP-01 Batches Advance
A deal announced in February 2025 is gone. Hemostemix will not proceed with the CytoImmune bioreactor technology license first announced on February 19, 2025; the transaction never closed, and the 20 million common shares contemplated as consideration were never issued.
CytoImmune is still making product. It has completed ACP-01 test batches outside a cleanroom, a controlled low-contamination environment used for cell therapy production, and will move test-batch production inside one next. The company describes this as manufacturing process development.
Hemostemix Plans Longevity Protocol Filing and Cleanroom ACP-01 Batches
Hemostemix has said it is preparing to file a second LARTA protocol for VesCell in longevity; no filing date has been disclosed. The move of ACP-01 test batches into the cleanroom carries no disclosed date either. Securities from the C$380,500 initial closing are subject to a statutory hold period of four months and one day from the closing date, and the closing itself remains subject to final TSX Venture Exchange acceptance.

No staff member or principal of aktiego.com holds a position in this security at the time of publication.
The lead release is dated October 7, 2026, one day outside this article’s October 8 to October 15, 2026 coverage window. It is included because no comparable substantive story from a TSX, TSXV, or CSE company was identified within the window.
Full LARTA approval is an authorization under the laws of The Bahamas. VesCell (ACP-01) is investigational and has not been approved by the FDA, Health Canada, or any other regulator for any indication. The Phase 1 study is designed primarily to assess safety, and the releases reviewed do not disclose a target enrollment number. Clinical history figures cited (seven studies, 318 subjects) are the company’s own and were not independently verified.
The C$380,500 initial closing of 7,610,000 units at C$0.05 is dilutive to existing shareholders, and each unit carries half a warrant exercisable at C$0.12, which would add further shares if exercised. The offering of up to C$1,000,000 remains subject to final TSX Venture Exchange acceptance and may not close in full. The October 7 and September 23 releases characterize this raise differently relative to the June 17 placement; both characterizations are reported as written. The releases reviewed do not disclose whether insiders participated. No specific cash runway was identified in the sources reviewed.
Hemostemix restated its unaudited Q3 2025 interim financial statements, as disclosed on June 17, 2026, and stated the original filings should no longer be relied upon. The company’s October 7 release continues to cite the risk that the restatement process and adjustments may change. Today’s approval is separate from that matter and does not resolve it.
The proposed CytoImmune bioreactor license did not close and has been abandoned. ACP-01 manufacturing at CytoImmune remains at the test-batch, process-development stage. Neither the TSX Venture Exchange nor its Regulation Services Provider accepts responsibility for the adequacy or accuracy of Hemostemix’s releases, per the company’s own standard disclosure.
